1. Acceptance of Terms
Welcome to Justin Jewett Consulting. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Justin Jewett Consulting ("Company," "we," "us," or "our").
By accessing our website at justinjewett.com, booking a consultation, purchasing services, or engaging with us in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund Policy.
If you do not agree to these Terms, you must not use our website or services.
Important: These Terms apply to all visitors, users, clients, and anyone who accesses our website or engages our services.
2. Description of Services
Justin Jewett Consulting provides technology and business consulting services, including but not limited to:
- Technology Strategy Consulting: Digital transformation roadmaps, technology stack assessments, cloud migration strategy, and IT infrastructure planning
- Product Development Consulting: Product strategy, agile transformation, technical architecture review, and MVP development guidance
- Business Operations Consulting: Process optimization, operational efficiency audits, vendor strategy, and change management
- Executive Advisory Services: Executive coaching, board advisory, M&A technology due diligence, and strategic planning facilitation
Services are delivered primarily through remote video conferencing sessions unless otherwise agreed upon in writing. The specific scope, deliverables, and timeline for each engagement will be outlined in a separate Statement of Work or engagement agreement where applicable.
3. Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have the legal authority to enter into binding contracts
- If representing a business, have the authority to bind that business to these Terms
- Provide accurate and complete information during registration and booking
4. Booking & Scheduling
4.1 Appointment Booking
Consultations must be scheduled through our official booking system (Calendly or as otherwise specified). When booking, you agree to:
- Provide accurate contact information
- Complete any required pre-session questionnaires
- Attend scheduled sessions on time
- Have appropriate technology (video conferencing software, stable internet connection) for remote sessions
4.2 Session Format
Sessions are conducted via video conference using platforms such as Zoom, Google Meet, or Microsoft Teams. You will receive a meeting link via email after booking confirmation.
4.3 Rescheduling
Sessions may be rescheduled with at least 24 hours' notice at no additional charge. Rescheduled sessions must occur within 60 days of the original scheduled date. Please refer to our Refund Policy for complete details.
4.4 Late Arrivals
If you are late to a scheduled session, the session will still end at the originally scheduled time. No extensions or refunds will be provided for time missed due to late arrival.
5. Payment Terms
5.1 Pricing
All prices are listed in United States Dollars (USD) unless otherwise specified. Prices are subject to change; however, confirmed bookings will be honored at the quoted price.
5.2 Payment Processing
Payments are processed securely through Stripe. By making a payment, you authorize us to charge the payment method you provide. We do not store complete credit card information on our servers.
5.3 Payment Timing
- Individual Sessions: Payment is required at the time of booking
- Monthly Retainers: Payment is due at the beginning of each month
- Project Engagements: Payment terms will be specified in the project agreement (typically 50% upfront, 50% upon completion)
5.4 Taxes
Prices do not include applicable sales tax, VAT, or other taxes, which will be added where required by law.
5.5 Failed Payments
If a payment fails, we will notify you and attempt to process the payment again. Services may be suspended until payment is successfully processed.
6. Cancellation & Refunds
Cancellations and refunds are governed by our Refund Policy. Key provisions include:
- Cancellations 48+ hours before: Full refund available
- Cancellations 24-48 hours before: 50% refund or reschedule
- Cancellations less than 24 hours before: No refund; one reschedule permitted
- No-shows: No refund

7. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information relevant to the consulting engagement
- Be prepared and punctual for scheduled sessions
- Maintain professional and respectful communication
- Make decisions and implement recommendations at your own discretion and risk
- Comply with all applicable laws and regulations
- Not use our services for any unlawful purpose
8. Intellectual Property
8.1 Company Materials
All frameworks, methodologies, templates, presentations, documents, and materials created or provided by Justin Jewett Consulting ("Company Materials") remain the exclusive intellectual property of Justin Jewett Consulting.
8.2 License Grant
Upon payment, clients receive a non-exclusive, non-transferable license to use Company Materials for their internal business purposes only. This license does not include the right to:
- Resell, redistribute, or share materials with third parties
- Modify materials for commercial distribution
- Remove or alter any proprietary notices
- Use materials to compete with Justin Jewett Consulting
8.3 Client Materials
You retain ownership of all materials you provide to us. By sharing materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.
9. Confidentiality
9.1 Our Commitment
We treat all information shared during consulting engagements as confidential. We will not disclose your business information, strategies, or proprietary data to third parties without your express consent, except as required by law.
9.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of ours
- Was in our possession before you disclosed it
- Is independently developed without use of your confidential information
- Is required to be disclosed by law or court order
9.3 Non-Disclosure Agreements
For engagements involving highly sensitive information, we are willing to enter into a separate mutual non-disclosure agreement upon request.
10. Limitation of Liability
Important Legal Notice: Please read this section carefully as it limits our liability to you.
10.1 Advisory Nature of Services
Our consulting services provide strategic advice, recommendations, and guidance. All business decisions, implementations, and outcomes remain solely your responsibility. We do not guarantee specific business results or outcomes.
10.2 Limitation
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for lost profits, lost revenue, lost data, or business interruption
- We shall not be liable for any damages resulting from decisions you make based on our recommendations
10.3 Acknowledgment
You acknowledge that our fees reflect this allocation of risk and that these limitations are a fundamental element of our agreement.
11. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of information
We do not warrant that our services will meet your specific requirements or that results will be error-free.
12. Indemnification
You agree to indemnify, defend, and hold harmless Justin Jewett Consulting, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of a third party
- Any decision you make based on our recommendations
13. Termination
13.1 Termination by You
You may terminate your engagement with us at any time by providing written notice. Refunds for terminated engagements will be handled according to our Refund Policy.
13.2 Termination by Us
We reserve the right to terminate or suspend services at any time if:
- You breach these Terms
- You fail to make required payments
- Your conduct is abusive, harassing, or unprofessional
- Continuing the engagement would be unethical or impractical
13.3 Effect of Termination
Upon termination, your right to use any Company Materials terminates immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive termination.
14. Dispute Resolution
14.1 Informal Resolution

14.2 Mediation
If informal resolution fails, the parties agree to attempt to resolve the dispute through mediation before an agreed-upon mediator.
14.3 Binding Arbitration
If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place remotely or in a location mutually agreed upon.
14.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions.
16. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes:
